How to choose in companies & ownership
Choose by the stage and ownership question: forming a company, recording corporate decisions, setting rules between owners or transferring shares. These documents serve different functions even when they concern the same company.
Questions to answer before you start
- Is the company being formed, governed, financed or changing ownership?
- Which owners, shares, decisions or transfer events must be documented?
- Does the document need to be read together with existing company records or an agreement between owners?
When a standard document may not be enough: Complex ownership structures, investor negotiations and disagreement between owners normally need a coordinated review of all relevant documents.
Shareholders' agreement
Swedish: AktieägaravtalThe agreement between owners of a Swedish AB: decision-making, board seats, transfer restrictions, pre-emption, drag and tag along, vesting, dividends and deadlock. It binds the owners, while the articles bind the company.
