What a board meeting minutes does

Minutes of a board meeting in a Swedish AB: attendance, the quorum figures, conflicts of interest, the material behind each item, the resolutions and the signature chain. Variants for a physical meeting, a video meeting, a hybrid meeting and a written resolution without a meeting (per capsulam).

In Sweden this document is called Styrelsemötesprotokoll. It is worth learning the Swedish term: it is what a bank, a housing association, an employer or an authority will ask you for, and searching for the English name alone will often turn up rules from another country that do not apply here. The rules come from The Companies Act, aktiebolagslagen (2005:551), 8 kap. 21–26 §§, and the questions you answer while creating the document are the ones that statute makes relevant.

When you need one

  • The board has met and the resolutions must hold up for the auditor, the bank, a buyer or Bolagsverket.
  • You are appointing a chair, a managing director (vd), a special signatory or a process agent (särskild delgivningsmottagare), and need minutes as the basis for the filing with Bolagsverket.
  • There is reason to assume that the company's equity has fallen below half the registered share capital, and the board must resolve on a kontrollbalansräkning.

  4. Complete the required formalities. Under Chapter 8, Section 24 of the Companies Act a board minute must be signed by the person who kept it and countersigned by the chair, and by a further director where the board has more than one member. Documents under the Companies Act may only be signed electronically with an advanced electronic signature where the act permits electronic form, and Avtalsfrid's ordinary flow does not meet that level. Print the minute and have it signed and countersigned by hand.

Being straight about language: this page, the guides and our support are in English. Questions

Will the board meeting minutes be in Swedish or English?
